User age and eligibility

You must be 18 or older, or have a parent or guardian's permission, to submit information through the Site. Your use of the Site is subject to all applicable federal, state, and local laws and regulations.

Permission to use the Site

Greenwich Rx grants you limited personal permission to access and use the Site in accordance with these Terms. You agree not to transmit content or information that you do not have the right to transmit or that infringes the rights of any party, and you agree to use the Site in compliance with all applicable laws. Your permission may terminate immediately, without further action by Greenwich Rx, if you breach these Terms. You may not transfer or assign your permission to any other party.

Greenwich Rx is a 503A compounding pharmacy licensed by the Texas State Board of Pharmacy. We dispense compounded medications only to an identified patient with a valid prescription from a licensed prescriber. Some preparations are compounded in batches, or lots, in limited quantities matched to prescriber orders, as permitted by federal and Texas law. Patients and prescribers should call the pharmacy at +1 (844) 202-4446 to confirm whether we can serve their location.

Proprietary rights

You understand that the Site may be subject to patent, copyright, trademark, or other intellectual property protection, and that the ownership of software and other intellectual property related to the Site, as well as the goodwill associated therewith, remains with Greenwich Rx or its licensors. You agree that any improvements or other changes to the Site are the sole property of Greenwich Rx.

Greenwich Rx is the owner or licensee of all rights in the Site, its content, software, and related services. You have no right to such content, software, or services if not expressly granted in these Terms. "Greenwich," "Greenwich Rx," and related logos and marks are owned by Greenwich Rx. All other trademarks that may appear on the Site are the marks of their respective owners. No right, title, or interest in those trademarks is granted to you in these Terms.

Health information and website forms

The Site does not give access to your pharmacy record, and its forms are not a channel for protected health information. Please do not send medical details or prescription information through website forms or regular email; call the pharmacy at +1 (844) 202-4446 instead. To get a copy of your pharmacy record, follow the steps in our HIPAA Notice of Privacy Practices.

Your privacy

Greenwich Rx considers your privacy to be of vital importance. Please review our Privacy Policy, which explains how Greenwich Rx may use and disclose personal information. See also our HIPAA Notice of Privacy Practices for protected health information.

Lot lookup and recall information

The lot lookup shows certificate of analysis results for the lot you search. Each result applies only to the tested lot. Recall notices on the Site are provided for information. If you have a product named in a recall notice, follow the instructions in the notice and call the pharmacy at +1 (844) 202-4446.

Security

The Site uses HTTPS encryption. While we take measures to protect the Site, no internet communication is completely secure, and we cannot guarantee that information sent through the Site will not be intercepted, altered, or misdirected.

Because internet communications carry risks, we ask that you not send health information through website forms or regular email. We will protect the information we receive as required by law.

Accuracy of information

Greenwich Rx works to keep information on the Site accurate, but it may contain typographical errors or other inaccuracies and may change without notice. To report inaccurate information on the Site, email support@greenwichrx.org. To ask us to amend your pharmacy record, follow the steps in our HIPAA Notice of Privacy Practices.

Site availability

Although Greenwich Rx works to communicate when the Site will be unavailable due to maintenance, backup, or other system outages, providing such advance notice may not be possible at all times, and Greenwich Rx cannot guarantee that you will be able to access the Site at any particular time. During times when the Site is unavailable, other communication methods (such as telephone) should be used to contact Greenwich Rx.

License and restrictions

Greenwich Rx grants you a limited, revocable, nontransferable, and nonexclusive license to access and make personal use of the Site and the accompanying services in accordance with these Terms. You may not reproduce or copy the Site or its contents, or modify any content or proprietary notices from materials downloaded or printed from the Site. You are not allowed to use the Site for the benefit of a third party or for personal financial benefit, create derivatives of the Site or its contents, transmit or provide content from the Site to a third party, incorporate content from the Site in a third-party product, use data-mining, robots, or similar data gathering and extraction tools, or use the Site in contravention of applicable law. The Site and all of its content are the property of Greenwich Rx, its licensors, or its content providers, protected by United States and international copyright and other laws, and cannot be reproduced, duplicated, copied, published, sold or otherwise exploited for any commercial purpose without express written consent from Greenwich Rx. You may not use any Greenwich Rx logo, graphic, or trademark as part of a link without express written permission from Greenwich Rx. Any unauthorized use automatically terminates the licenses and permission granted above by Greenwich Rx. Greenwich Rx and its affiliates reserve the right to block access, refuse services, or remove or edit content in connection with the Site.

Links to third-party sites and content

The Site contains links to third-party websites and embedded third-party content, such as the Google Maps map on our Contact page and our LinkedIn page ("Third-Party Content"), that are not owned or maintained by Greenwich Rx. Links to Third-Party Content are included for your convenience and do not imply approval or endorsement by Greenwich Rx. Greenwich Rx makes no warranties or representations and disclaims any responsibility for the content of, and products or services offered by, Third-Party Content. Use of Third-Party Content may result in your information being used or stored by a third party, subject to that party's own terms and privacy policy.

Warranties and disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." GREENWICH RX MAKES NO, AND HEREBY DISCLAIMS ANY, WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR USE OR PURPOSE. FURTHER, GREENWICH RX DISCLAIMS ANY WARRANTY THAT THE SITE OR ANY COMPONENT THEREOF WILL BE AVAILABLE AT ALL TIMES OR OPERATE WITHOUT INTERRUPTION OR ERROR. GREENWICH RX MAKES NO WARRANTY AS TO THE RELIABILITY, ACCURACY, TIMELINESS, USEFULNESS, ADEQUACY, COMPLETENESS, OR SUITABILITY OF THE SERVICES OR INFORMATION PROVIDED THROUGH THE SITE. Limitations of liability and indemnity

IN NO EVENT WILL GREENWICH RX OR ANY OF OUR AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AGENTS, OR CONTRACTORS BE LIABLE TO YOU (WHETHER UNDER CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR ANY OTHER THEORY) FOR (i) ANY INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE (INCLUDING DEFAMATION, ERRORS, INACCURACIES, DEFECTS, OR LOSS OF USE, DATA, OR INFORMATION) ARISING OUT OF OR RELATED TO USE OF OR INABILITY TO USE THE SITE, ANY RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE SITE, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES, OR (ii) DAMAGES ARISING OUT OF OR RELATING TO USE OR INABILITY TO USE THE SITE, ANY RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE SITE, OR THESE TERMS EXCEEDING, IN THE AGGREGATE FOR ALL CLAIMS, ONE HUNDRED UNITED STATES DOLLARS ($100.00).

EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN YOU AND GREENWICH RX. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GREENWICH RX. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THESE TERMS WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, GREENWICH RX'S LIABILITY TO YOU IS LIMITED AS SET FORTH IN THIS SECTION. BECAUSE SOME STATES OR COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL, INCIDENTAL, OR OTHER DAMAGES OR TOTAL LIABILITY, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Nothing in these Terms limits any rights you have as a pharmacy patient under Texas or federal law, including rights related to the medications we dispense.

In addition, you agree to indemnify Greenwich Rx and its affiliates, officers, directors, employees, representatives, agents, and contractors (collectively, "Indemnified Parties") from and against any and all claims, actions, suits, demands, liabilities, damages, losses, penalties, interest, fines, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to: (i) your use of, your inability to use, or your reliance upon the Site or any of its components, or (ii) your violation of these Terms or any applicable law. You agree to provide Greenwich Rx and the Indemnified Parties with cooperation as reasonably requested related to any such claims, actions, suits, or demands. This Section entitled "Limitations of liability and indemnity" shall survive termination of this agreement.

Governing law, venue, and international use

The Site is hosted by a cloud provider in the United States. These Terms and any dispute arising out of or relating to the Site or these Terms, whether based in contract, tort, statute, or other law, are governed by the laws of the State of Texas, without regard to its conflict of law rules. Any such dispute will be resolved exclusively in the state or federal courts located in Harris County, Texas, and you and Greenwich Rx each consent to the personal jurisdiction of those courts and to venue there. If a court of competent jurisdiction finds any provision of these Terms invalid, the court should give effect to the parties' intentions as reflected in that provision, and the other provisions of these Terms remain in full force and effect.

Because the Site may be accessible internationally, you agree to comply with all local statutes, rules, regulations, and other laws, including without limitation all laws, rules, and regulations in effect in the United States, the country in which you reside, and the country from which you access the Site. The information on the Site is not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be contrary to the laws of that jurisdiction or country or those of the United States, or which would subject Greenwich Rx to any registration requirement within such jurisdiction or country.

Termination of access

Greenwich Rx may suspend or end your access to the Site at any time, without notice, if you misuse the Site or violate these Terms.

Communications

When you contact us through the Site, you agree that we may reply by email or phone using the contact details you provide. We use those details only to respond to your inquiry.

General provisions

These Terms constitute the entire agreement between you and Greenwich Rx relating to the Site and related services, and supersede any prior agreements. No modification of these Terms by you shall be binding on Greenwich Rx unless made in writing and physically signed by an authorized representative of Greenwich Rx.

You may not assign or transfer your rights or obligations under these Terms in whole or in part to a third party without our consent. These Terms shall bind and inure to the benefit of the parties to these Terms and their permitted successors and assigns. The parties are independent contractors and are not partners, joint venturers, agents, employees, or representatives of the other party. The headings and captions used in these Terms are used for convenience only and are not to be considered in construing or interpreting these Terms. Greenwich Rx's failure to enforce any provision of these Terms shall not be deemed a waiver of that or any other provision of these Terms.

Greenwich Rx is not liable for failure or delay in performing its obligations if such failure or delay is due to a force majeure event or other circumstances beyond Greenwich Rx's reasonable control, including acts of any governmental body, war, cyber war or attack, terrorism, insurrection, sabotage, embargo, fire, flood, severe weather, earthquake, tornado, hurricane, pandemic, labor disturbance, interruption of or delay in the internet or transportation, unavailability of third-party services, failure of third-party software or services, or inability to obtain raw materials, supplies, or power used in or equipment needed for provision of the Site or any other products or services contemplated by these Terms.

The use of this Site is unauthorized in any jurisdiction that does not give effect to the Terms of Use contained herein. All rights not expressly granted herein are hereby reserved.

Modifications to these Terms

Greenwich Rx may update these Terms from time to time. When we do, we will post the updated Terms on this page and change the "Last updated" date. Changes apply to your use of the Site after the updated Terms are posted. If you do not agree with the changes, stop using the Site.

Copyright complaints

Greenwich Rx respects the intellectual property rights of others. If you believe your copyright has been improperly used on the Site, please contact us at legal@greenwichrx.org with a detailed description of the work claimed to be infringed and a description of where the allegedly infringing material is located on the Site.

Survival of Terms

If your access to the Site ends, the following Sections will survive: Proprietary rights, Warranties and disclaimers, Limitations of liability and indemnity, Governing law, venue, and international use, and General provisions.
